1. Agreement to Terms

By accessing or using OAi Venture's services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

2. Services

OAi Venture provides IT and software development services including but not limited to:

  • Website development
  • Mobile application development
  • Custom software development
  • UI/UX design services
  • IT consulting
  • Cloud solutions
  • Maintenance and support

3. Project Terms

3.1 Proposals and Quotes

All proposals and quotes are valid for 30 days unless otherwise stated. Prices are subject to change based on project scope modifications.

3.2 Project Timeline

Project timelines are estimates based on the agreed scope of work. Delays caused by client-side factors may result in timeline adjustments.

3.3 Scope Changes

Any changes to the agreed project scope must be documented and may result in additional costs and timeline adjustments.

4. Payment Terms

4.1 Payment Schedule

Unless otherwise agreed, payments are typically structured as:

  • 50% upfront payment before project commencement
  • 25% upon reaching defined milestones
  • 25% upon project completion and delivery

4.2 Late Payments

Late payments may result in project suspension and may incur late payment fees as specified in the project agreement.

4.3 Refund Policy

Refunds are handled on a case-by-case basis. Work completed and resources utilized up to the cancellation point are non-refundable.

5. Intellectual Property

5.1 Client Ownership

Upon full payment, clients receive ownership of the custom-developed deliverables as specified in the project agreement.

5.2 Pre-existing Materials

We retain ownership of pre-existing tools, frameworks, and methodologies used in project development.

5.3 Third-Party Components

Third-party components, libraries, and services are subject to their respective licenses and terms.

6. Confidentiality

We maintain strict confidentiality of client information and project details. Both parties agree not to disclose confidential information without prior written consent.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that services will be performed with professional skill and care. We provide bug fixes for a specified period post-launch as agreed in the project contract.

7.2 Disclaimer

Services are provided "as is" without any warranties beyond those explicitly stated in the project agreement. We are not liable for indirect, incidental, or consequential damages.

8. Limitation of Liability

Our liability is limited to the total amount paid by the client for the specific project. We are not liable for any lost profits, data loss, or business interruption.

9. Support and Maintenance

Post-launch support and maintenance services are provided as per the agreed maintenance agreement. Emergency support may incur additional charges.

10. Termination

Either party may terminate the agreement with written notice. Upon termination, the client is responsible for payment of all work completed to date.

11. Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, strikes, or technical failures.

12. Governing Law

These terms are governed by the laws of Bangladesh. Any disputes will be resolved through arbitration in Dhaka, Bangladesh.

13. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the updated terms.
